Terms of Service

01 — Acceptance
Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of the CurbChat platform, operated by CurbChat (“we”, “our”, “us”), located at curbchat.ca.
By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not access or use CurbChat. These Terms apply to all users — including trial users, active subscribers, and anyone accessing the platform in any capacity.
We reserve the right to update these Terms at any time. We will notify you of material changes via the email address on your account. Continued use after the notice period constitutes acceptance.
02 — Eligibility & Use
Who can use CurbChat
CurbChat is a business tool — it is intended exclusively for use by businesses, freelancers, and organizations operating in a commercial context. It is not intended for personal use, roleplay, entertainment, or any non-commercial purpose.
You must be at least 18 years old and legally capable of entering into a binding contract to create an account. If you are registering on behalf of a business, you represent that you have the authority to bind that business to these Terms.
Accounts are for single-business use. Each subscription covers one business and one deployed chatbot widget. Contact us if you need a multi-location or agency arrangement.
03 — Your Responsibilities
Your system prompt is your responsibility
CurbChat provides tools for you to write, edit, and deploy a system prompt that controls how your AI chatbot responds to visitors. You are solely responsible for reviewing, testing, and approving your system prompt before deploying it to your live website.
CurbChat does not review, moderate, or vet the content of your system prompt. You must ensure your prompt does not contain false, misleading, harmful, discriminatory, or illegal content. You must not use CurbChat to:
- Violate any applicable local, provincial, federal, or international law or regulation
- Deceive or defraud your website visitors
- Collect personal information from minors
- Impersonate another business, person, or entity
- Transmit spam, malware, or unsolicited messages
- Harass, threaten, or harm any individual
- Reverse engineer, copy, or resell any part of the CurbChat platform
We reserve the right to suspend or terminate any account that violates these restrictions, at our sole discretion and without prior notice.
04 — Disclaimer of Liability
CurbChat is not liable for chatbot responses
The chatbot responses generated through your CurbChat widget are produced by a third-party AI model (currently DeepSeek) based on the system prompt you write. CurbChat has no control over the specific outputs of the AI model.
CurbChat is not liable for:
- Inaccurate, incomplete, or misleading responses the chatbot provides to your visitors
- Off-topic, unexpected, or inappropriate outputs generated by the AI model
- Loss of revenue, clients, business opportunities, or profits arising from chatbot behavior
- Damages of any kind — direct, indirect, incidental, consequential, or punitive — resulting from use of your chatbot
- Technical outages, AI model downtime, or API failures beyond our control
You deploy your chatbot at your own risk. We strongly recommend testing your chatbot thoroughly before making it live, and updating your system prompt promptly if you notice any unexpected behavior.
05 — Payment & Billing
Subscription, billing, and cancellation
CurbChat is a subscription service billed at $30 CAD per month. Payment is processed through Stripe, a PCI DSS Level 1 certified payment processor. Your subscription renews automatically each month until you cancel.
- No refunds: all payments are final. We do not offer partial-month refunds or credits for unused time.
- Cancel anytime: you may cancel your subscription at any time from your dashboard. Access continues until the end of the current billing period.
- Failed payments: if a payment fails, we will attempt to retry it. If payment remains outstanding, we reserve the right to suspend access to your account until the balance is resolved.
- Price changes: CurbChat reserves the right to change pricing at any time. We will notify you via your account email before any price change takes effect. Continued use of the service after the notice period constitutes acceptance of the new pricing
06 — Account Suspension
When we may suspend or terminate
CurbChat reserves the right to suspend or permanently terminate any account at any time, with or without notice, for reasons including but not limited to:
- Violation of these Terms
- Non-payment of subscription fees
- Use of the platform in a manner that harms other users, visitors, or third parties
- Receipt of a court order, legal process, or regulatory requirement to do so
- Reasonable belief that continued access poses a security or legal risk
If we suspend your account without cause, we will issue a pro-rated refund for the unused portion of your billing period. Suspensions for violations of these Terms are not eligible for refunds.
07 — Intellectual Property
Who owns what
CurbChat owns the platform, the codebase, the underlying technology, the CurbChat brand, and all associated intellectual property. You are granted a limited, non-exclusive, non-transferable license to use the platform for the duration of your active subscription.
You retain ownership of all content you create within the platform — including your system prompt, styling configurations, and business data. By using CurbChat, you grant us a limited license to store and process this content solely for the purpose of operating the service.
You may not copy, reproduce, modify, distribute, or create derivative works of any part of the CurbChat platform without our express written permission.
08 — Warranty Disclaimer
The service is provided as-is
CurbChat is provided “as is” and “as available” without any warranty of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free from security vulnerabilities. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
09 — Limitation of Liability
Cap on damages
To the maximum extent permitted by applicable law, CurbChat’s total liability to you for any claim arising from or related to these Terms or your use of the service shall not exceed the amount you paid to CurbChat in the 3 months preceding the claim. In no event will CurbChat be liable for any indirect, incidental, consequential, special, or punitive damages, even if we have been advised of the possibility of such damages.
10 — Indemnification
Your obligation to indemnify
You agree to indemnify, defend, and hold harmless CurbChat and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your use of the service, your system prompt content, your violation of these Terms, or your violation of any third-party rights.
11 — Governing Law
Jurisdiction and disputes
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising under these Terms shall be resolved exclusively in the courts of British Columbia, Canada. By using CurbChat, you consent to the personal jurisdiction of those courts.
